NCBR Investment Fund ASI S.A. (NIF) – a co-investment venture capital fund, is looking for well performing people for the position of: INTERNAL LAWYER. NIF specializes in investments in small and medium-sized enterprises (SMEs) in the growth or expansion phase, commercializing the results of research and development (R&D&I). The Fund’s investment budget is PLN 700 million, the value of a single investment shall be PLN 3-64 million.

Expectations:

• higher education;
• at least 5 years of experience in a VC fund or private equity fund;
• knowledge of the investment process on the private market (VC or private equity);
• knowledge of the Commercial Companies Code;
• fluency in English;
• a certificate confirming theoretical preparation is welcome, eg CFA, investment advisor.

Tasks:

• analysis of offers of co-investment partner funds in portfolio companies (including verification of portfolio companies meeting the investment selection criteria) and preparation of relevant reports resulting from the above-mentioned analysis;
• active search and identification of investment opportunities – potential portfolio companies meeting the investment selection criteria;
• participation in the negotiation of co-investment agreements;
• participation in corporate governance over portfolio companies, including through timely and qualitatively appropriate acquisition and analysis of information;
• monitoring the Polish VC market and preparing, on this basis, reports, statements, analyzes, etc., of appropriate quality, necessary for the implementation of NIF tasks;
• performing other commissioned works related to the implementation of NIF tasks.

• fluency in English;
• professional experience or internships in capital market entities or commercial companies are welcome;

Tasks:

• making preliminary assessments of offers of VC funds applying for the status of the NIF Partner Fund;
• supporting the process of verifying the offers of Partner Funds for co-investments in potential Portfolio Companies;
• coordination of public relations (PR) activities, including the presence of NIF in the media and at industry conferences;
• performing other commissioned works related to the implementation of NIF tasks, including reports, summaries, analyzes and other materials

The person in this position will work directly with both the members of the NIF Management Board, the analytical and investment team.

• evaluation of offers of VC funds applying for the status of a partner fund (e.g. examination of business plans, investment strategies and due diligence of VC funds);
• verification of offers of co-investment partnerships in portfolio companies (including verification of portfolio companies meeting the investment selection criteria);
• supporting corporate governance over the activities of portfolio companies, including through timely and qualitatively appropriate obtaining of information;
• monitoring the Polish VC market and preparing, on this basis, high-quality reports, summaries, analyzes, etc. necessary for the implementation of the NCBR Investment Fund’s tasks;
• performing other commissioned works related to the implementation of NCBR Investment Fund tasks.
